Terms of Service.

The information provided when using the Services is not intended for distribution where such use would be contrary to law. The Services are not tailored to comply with HIPAA, FISMA, or similar industry-specific regulations.

We own or license all intellectual property rights in our Services, including source code, databases, software, website designs, text, and graphics. Our Content and Marks are protected by copyright and trademark laws.

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services for your personal, non-commercial use only.

Your submissions: By sending us any question, comment, suggestion, idea, or feedback about the Services, you agree to assign to us all intellectual property rights in such Submission.

By using the Services, you represent that: (1) you have the legal capacity to agree to these Legal Terms; (2) you are not a minor in your jurisdiction; (3) you will not access the Services through automated means; (4) you will not use the Services for illegal purposes; and (5) your use will not violate any applicable law.

Refund requests are accepted within 7 days of the original purchase date. Submit one from your account settings; our team reviews each request individually, so approval is not automatic. After 7 days, purchases are non-refundable.

Monthly billing renews until you cancel. The semester pass and the academic year pass are one-time payments that do not renew; access ends when the term they cover ends.

You agree to provide accurate purchase and account information. We may change prices at any time.

You may not use the Services for any purpose other than that for which we make them available. Prohibited activities include but are not limited to: systematically retrieving data to build a database; tricking or defrauding other users; circumventing security features; harassing other users; uploading viruses or malicious code; engaging in automated use of the system; attempting to impersonate another user; or using the Services for commercial endeavors not endorsed by us.

If you create or make available any Contributions, you represent and warrant that you have all necessary rights to do so and that your Contributions comply with these Legal Terms and applicable law.

By submitting suggestions or feedback, you agree that we can use and share such feedback for any purpose without compensation. You retain ownership of your Contributions.

We reserve the right to monitor the Services for violations of these Legal Terms, take appropriate legal action against violators, and remove content that is excessive in size or burdensome to our systems.

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by it. The Services are hosted in Canada and the United States.

These Legal Terms remain in effect while you use the Services. We reserve the right to deny access to any person for any reason, including breach of these Legal Terms, without notice or liability.

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times.

These Legal Terms shall be governed by the laws of Canada. Both parties consent to the exclusive jurisdiction of the courts of Canada.

Parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days. Any unresolved dispute shall be referred to binding arbitration under the International Commercial Arbitration Court (European Arbitration Chamber), with the seat of arbitration in Saskatoon, Canada.

We reserve the right to correct any errors, inaccuracies, or omissions on the Services at any time without prior notice.

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY TO YOU FOR ANY CAUSE WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID BY YOU TO US OR $100 CAD.

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, or claim arising from your use of the Services, breach of these Legal Terms, or violation of any third party’s rights.

We will maintain certain data you transmit to the Services for managing performance. Although we perform regular backups, you are solely responsible for all data you transmit or that relates to activity you have undertaken using the Services.

Visiting the Services and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements provided electronically satisfy any legal requirement that such communication be in writing.

These Legal Terms and any policies posted by us on the Services constitute the entire agreement between you and us. If any provision is determined to be unlawful or unenforceable, it is deemed severable and the remaining provisions remain in effect.
